1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website profitwithprophets.com (the "Site") and any services provided by Profit With Prophets LLC ("Profit With Prophets," "PWP," "we," "us," or "our"). By accessing the Site, submitting a form, opting in to our SMS program, or purchasing any of our services, you agree to be bound by these Terms. If you do not agree, do not use the Site or services.

2. Services Description

Profit With Prophets provides marketing and operations services for local service businesses, including:

• Lead capture: chat widgets, landing pages, intake forms, and lead routing.
• Google reviews: review-request automation and reputation management.
• Paid advertising: campaign setup, management, and reporting on platforms such as Google Ads and Meta Ads.
• Content creation: copywriting, ad creative, and short-form video.
• SMS marketing services: design, deployment, and management of A2P 10DLC-compliant messaging programs.

Specific deliverables, timelines, and pricing for your engagement are described in your separate order form, statement of work, or subscription page, which are incorporated into these Terms.

3. Eligibility

You must be at least 18 years old and legally authorized to enter into contracts on behalf of the business or entity you represent in order to use the Site or services. By accepting these Terms, you represent and warrant that you meet these requirements.

4. Account & Subscription Terms

4.1 Billing

All payments are processed through Stripe. By providing payment information, you authorize us to charge the applicable fees to your designated payment method on a recurring basis (monthly or annually, depending on your plan).

4.2 Subscription Plans

Subscriptions are offered on a monthly or annual basis and automatically renew at the end of each billing period unless cancelled in accordance with Section 4.4. Renewal pricing is the then-current rate for your plan.

4.3 Refund Policy

Subscription fees are non-refundable except as required by law. Setup fees and one-time service fees are non-refundable once work has commenced. To request a refund consideration, email admin@profitwithprophets.com within 7 days of the charge.

4.4 Auto-Renewal and Cancellation

Subscriptions automatically renew at the end of each billing period until you cancel. You may cancel your subscription at any time by emailing admin@profitwithprophets.com or through your client portal. Cancellation takes effect at the end of the current billing period; no prorated refunds are issued for partial periods unless required by law or stated otherwise in your order form.

5. Messaging Program — A2P / 10DLC

Profit With Prophets operates an A2P 10DLC SMS messaging program for our clients and prospects.

• Program name: Profit With Prophets SMS.
• Message types: transactional confirmations, appointment reminders, and marketing offers (mixed-use).
• Message frequency varies.
• Msg & data rates may apply.
• Reply STOP to any message to opt out. After you text STOP you will receive one final confirmation message, and then no further messages from that program.
• Reply HELP for help, or contact admin@profitwithprophets.com / (737) 374-7778.
• Wireless carriers are not liable for delayed or undelivered messages.

6. Intellectual Property

The Site and all of its content, including but not limited to text, graphics, logos, marks, software, templates, training materials, playbooks, copy, and other materials (collectively, the "PWP Materials"), are owned by or licensed to Profit With Prophets LLC and are protected by United States and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the PWP Materials solely as necessary to use the services you have purchased. You may not copy, distribute, modify, sublicense, reverse engineer, or create derivative works from the PWP Materials except as expressly authorized in writing.

7. User Conduct & Prohibited Uses

You agree not to use the Site or services to:

• Engage in any illegal activity or violate any applicable law or regulation, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and applicable state and federal consumer protection laws.
• Send unsolicited commercial messages ("spam") through the platform or our infrastructure.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Scrape, crawl, harvest, or otherwise extract data from the Site or services by automated means without our prior written consent.
• Interfere with or disrupt the integrity or performance of the Site or services, or attempt to gain unauthorized access to any systems or networks.
• Upload or transmit any viruses, malware, or other malicious code.

8. Disclaimers & Limitation of Liability

8.1 Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PARTICULAR RESULTS, INCLUDING REVENUE, LEADS, OR CONVERSIONS, WILL BE ACHIEVED.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PROFIT WITH PROPHETS LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Profit With Prophets LLC and its officers, members, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Site or services; (b) any content, data, or materials you provide to us or upload to our systems; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.

10. Dispute Resolution

10.1 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, the Site, or the services will be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted by a single arbitrator and will take place in Travis County, Texas, unless the parties agree otherwise. The arbitrator's decision will be final and may be entered as a judgment in any court of competent jurisdiction.

10.2 Small Claims Carve-Out

Notwithstanding Section 10.1, either party may bring an individual action in small claims court for disputes within the jurisdiction of that court.

10.3 Venue for Non-Arbitrable Matters

For any claim not subject to arbitration (including requests for equitable or injunctive relief to protect intellectual property), the parties consent to exclusive jurisdiction and venue in the state or federal courts located in Travis County, Texas, and the United States District Court for the Western District of Texas.

10.4 Class Action Waiver

All disputes must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws principles. Profit With Prophets LLC is organized under the laws of the State of Texas and is taxed as a single-member sole proprietorship.

12. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will post the updated Terms on this page and update the "Last Updated" date at the top. Your continued use of the Site or services after the changes take effect constitutes your acceptance of the updated Terms.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect, and the unenforceable provision will be reformed to the minimum extent necessary to make it enforceable while preserving the parties' original intent as closely as possible.
